These terms govern access to and use of Mach 10 Mechanical™ websites, software, workflows, integrations, operational coordination environments, communications, and services.

Last updated: September 2026

1. Platform Purpose

Mach 10 provides operational workflow coordination software and related services for RFQ coordination, sourcing workflows, supplier communication, workflow visibility, operational collaboration, file coordination, meetings, and industrial operational participation.

Mach 10 does not guarantee sourcing outcomes, supplier performance, pricing accuracy, quote acceptance, inventory availability, operational continuity, manufacturing results, or business outcomes.

2. Account Responsibility And Operational Participation

Organizations and users are responsible for accurate account information, credential protection, user access, workflow permissions, operational visibility, and compliance with applicable laws and agreements. Users are responsible for all activity under their accounts.

Authorized workflow participants may view workflow records, communications, sourcing information, files, attachments, participant activity, meeting coordination, and workflow updates based on configured permissions.

3. Confidential, Regulated, And Export-Controlled Information

Organizations are responsible for determining whether information shared through Mach 10 contains confidential, proprietary, export-controlled, technical, regulated, or customer-restricted information. Users are responsible for complying with applicable export control laws, trade restrictions, sanctions, confidentiality obligations, and regulatory requirements, including ITAR and EAR where applicable.

4. Acceptable Use

  • Users may not violate laws, infringe intellectual property rights, upload malicious code, interfere with platform operation, access unauthorized information, impersonate others, distribute spam or fraudulent content, misuse workflow systems, attempt to reverse engineer the platform, or use the platform for unlawful activity.
  • Mach 10 may suspend or terminate accounts that violate these Terms.

5. Intellectual Property And Customer Data

Mach 10 Mechanical, the Mach 10 Mechanical name, related logos, platform design, product concepts, workflows, text, graphics, and other materials are owned by Mach 10 Mechanical LLC or its licensors. No rights are granted except as expressly stated in these Terms.

Mach 10 retains all rights, title, and interest in its software, workflows, branding, interfaces, operational tooling, analytics, platform systems, documentation, and related intellectual property. No ownership rights are transferred through platform access.

Organizations retain ownership of operational data submitted to the platform and grant Mach 10 a limited right to host, process, organize, display, store, transmit, and manage information solely as needed to provide the platform and related services.

6. Early Access Services, Fees, And Third Parties

Pilot, preview, evaluation, or limited-release services may contain bugs, interruptions, incomplete functionality, operational limitations, evolving workflows, or configuration issues. Limited-release functionality may change or be discontinued without notice. Organizations should not rely on those environments as their sole operational system of record.

Mach 10 may store, organize, transmit, or provide controlled access to quotes, purchase orders, invoices, and related files for authorized participants. Unless a separate written agreement expressly states otherwise, Mach 10 is not the buyer, seller, distributor, supplier, payment processor, or party to those underlying transactions and does not take a percentage of their value. Each participant remains responsible for its own pricing, approvals, payment, taxes, delivery, quality, and contractual obligations.

Any Mach 10 subscription, onboarding, implementation, consulting, integration, event, or support fees will be stated in the applicable order form or written agreement. Mach 10 may integrate with third-party systems and is not responsible for third-party outages, compatibility issues, or functionality outside Mach 10's control.

7. Analytics, Availability, And Disclaimers

Analytics, benchmarks, workflow insights, recommendations, and future AI-assisted functionality are informational only. Mach 10 does not provide engineering, manufacturing, procurement, legal, compliance, financial, or operational advice. Organizations are responsible for independently evaluating operational decisions.

Mach 10 services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Mach 10 disclaims warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, data accuracy, operational performance, and workflow reliability.

8. Liability, Indemnification, And Security

To the fullest extent permitted by law, Mach 10 shall not be liable for indirect, incidental, consequential, or similar damages, including lost profits, lost revenue, operational disruption, production delays, data loss, workflow interruptions, supplier disputes, or manufacturing issues. Total liability shall not exceed amounts paid to Mach 10 during the twelve months preceding the claim.

Users agree to defend, indemnify, and hold harmless Mach 10 from claims arising from misuse of the platform, operational decisions, workflow participation, shared information, legal violations, third-party disputes, or intellectual property claims related to customer-provided content. Mach 10 uses commercially reasonable safeguards but does not guarantee ITAR, FedRAMP, SOC, ISO, or industry-specific compliance unless stated in separate written agreements.

9. Termination, Modifications, And Governing Law

Mach 10 may suspend or terminate access for Terms violations, nonpayment, security concerns, operational abuse, or platform protection. Mach 10 may modify workflows, features, integrations, services, operational capabilities, or these Terms. Material changes will be identified by an updated date and communicated when required; changes do not retroactively alter a signed order form or other written agreement. Continued use after updated Terms become effective constitutes acceptance of those Terms. These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles.

10. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. These Terms, together with any applicable signed order form or written agreement, form the agreement governing the services; the signed agreement controls if it expressly conflicts with these Terms.
